Step-by-Step Roadmap
4. Application Timeline & Process
Corporate Structuring & Feasibility Review
Review parent company structure, confirm shareholding chain, verify RO qualifications against SFC Guidelines on Competence, and determine client asset holding scope.
Documentation & Compliance Architecture Drafting
Draft the 3-year business plan, detailed financial resources projection, compliance manual, AML/CTF manual, and client agreement agreements.
Formal SFC Submission via WINGS Portal
Lodge electronic application pack on WINGS, upload corporate supplements, individual RO/Licensed Representative (LR) questionnaires, and pay statutory SFC fees.
SFC Requisition Rounds & Case Officer Engagement
Address detailed formal questions (requisitions) from the SFC regarding execution algorithms, overseas client flow, capital sources, and RO interviews.
In-Principle Approval (IPA) & Final Licence Grant
SFC issues letter of In-Principle Approval (IPA). Satisfy pre-licensing conditions (bank account opening, capital injection, office lease) to obtain the formal certificate.
SFC Vetting Best Practice:
Application timing is heavily influenced by how thoroughly the business plan and risk control framework preempt SFC requisitions. A well-prepared filing significantly reduces clarification cycles.
Common Inquiries
5. Frequently Asked Questions: Type 1
Can an overseas broker deal with Hong Kong clients without a Type 1 licence?
Under Section 115 of the SFO, actively marketing securities dealing services to the Hong Kong public from overseas constitutes an offense unless the entity is licensed or an applicable overseas regulatory exemption applies. A formal Type 1 licence is required to maintain ongoing business presence in the territory.
Can one Responsible Officer supervise both Type 1 and Type 4 licences?
Yes. An individual with appropriate securities experience and examination passes can be accredited as an RO for both Type 1 (Dealing in Securities) and Type 4 (Advising on Securities) simultaneously.
What is the difference between holding client assets and not holding client assets?
Holding client assets means receiving customer funds or stock certificates directly, requiring a minimum paid-up capital of HK$10M and HK$3M liquid capital. Non-holding brokers rely on third-party custodians or prime brokers, reducing paid-up capital to HK$5M and liquid capital to HK$500K.
