Responsible Officer (RO) Staffing & Competence Planning

Navigate SFC Guidelines on Competence, assess HKSI exam exemption pathways for overseas fund managers, and construct an unassailable governance framework.

The Responsible Officer Bottleneck

Every SFC licensed corporation must have at least two approved Responsible Officers (ROs) for each regulated activity, with at least one executive director on the ground in Hong Kong at all times. Finding qualified ROs with the required track record, supervisory experience, and regulatory standing is the number one hurdle for overseas applicants.

The SFC conducts exhaustive vetting of each candidate’s past 8 years of industry experience, trading records, and disciplinary history. Submitting a candidate who fails the Guidelines on Competence or who lacks sufficient portfolio management discretion triggers prolonged requisitions or application withdrawal.

Frequently Asked Questions

Can an overseas director serve as a Responsible Officer?

An overseas individual can be approved as a Responsible Officer, provided they demonstrate relevant competency and local regulatory knowledge. However, at least one approved RO must be normally resident in Hong Kong and available to supervise the regulated activity in person at all times.

What are the main criteria to obtain an HKSI exam exemption for foreign managers?

Experienced foreign fund managers or brokers holding recognized overseas regulatory registrations (e.g. FCA, SEC, MAS) with at least 5 to 8 years of solid track record may qualify for exemptions from HKSI technical papers, subject to passing or completing post-licensing local regulatory training (LRO) for Paper 1.

What is the difference between an RO and an MIC?

A Responsible Officer (RO) holds individual regulatory authorization to supervise a specific regulated activity under SFO section 126. A Manager-in-Charge (MIC) is an internal senior governance title under the SFC’s MIC regime responsible for managing one of 8 core functions. All Key Business Line MICs must also be approved ROs.

What happens if one of our ROs resigns during the application?

If an RO candidate resigns during vetting, the SFC will pause the application clock until a qualified replacement is proposed and vetted. Having a clear contingency pipeline is crucial for keeping your timeline intact.
