Statutory Scope & Boundaries
1. Licence Definition & Regulated Activities
Authorized Business Activities Under Type 9
Holding an active licence from the Securities and Futures Commission authorizes your corporation to conduct:
- Managing open-ended hedge funds, private equity funds, venture capital funds, and mutual funds.
- Operating discretionary managed accounts (SMAs) for family offices, sovereign wealth funds, and high-net-worth clients.
- Managing virtual asset (crypto) investment funds (subject to SFC Pro-rata Circular on Virtual Asset Portfolios).
- Overseeing Hong Kong Open-ended Fund Companies (OFC) and Limited Partnership Funds (LPF).
Typical Applicant Profiles
- Global hedge funds and alternative asset managers establishing an Asia-Pacific office
- Private equity and venture capital firms raising regional Asian funds
- Single and multi-family offices expanding into third-party asset management
- FinTech and algorithmic investment managers executing quantitative strategies
Statutory Carve-Out Note:
Intra-Group Exemption: Managing funds or portfolios exclusively for wholly-owned group corporate affiliates (with no third-party investor money) does not require a Type 9 licence.
Financial Resources Rules (FRR)
2. Minimum Capital Requirements (FRR)
The statutory capital requirements for Type 9 are highly accommodating for modern fund managers utilizing independent third-party custodians.
| Operating Scenario | Min. Paid-Up Capital | Min. Liquid Capital | Regulatory Notes |
|---|---|---|---|
| Subject to Condition NOT to Hold Client Assets (Standard Fund Manager Model) | None Specified | HK$100,000 | Applicable to 95%+ of asset managers. All fund cash and securities are held by independent third-party prime brokers and custodians. |
| Holding Client Assets (Direct custody of customer cash/assets) | HK$5,000,000 | HK$3,000,000 | Rarely used; requires licensed trust company or authorized institution custody setup. |
Ongoing Capital Adequacy & Daily Liquid Monitoring
While the statutory minimum liquid capital is HK$100,000, the SFC requires proof in the business plan that the manager has sufficient working capital to cover at least 6 to 12 months of operational expenses (salaries, rent, IT).
Personnel & Fitness Standards
3. Responsible Officer (RO) Requirements
The appointment of at least two competent Responsible Officers with proven discretionary investment decision-making experience is the most critical hurdle in an SFC Type 9 filing.
Discretionary Track Record
Minimum 3 years direct experience in making investment decisions for discretionary portfolios or research directly leading to fund trades within the past 6 years.
Dual RO Rule
Minimum two approved ROs for Type 9; at least one must be ordinarily resident in Hong Kong and an Executive Director.
Private Equity / VC Equivalency
For PE/VC funds, the SFC accepts relevant experience in deal sourcing, due diligence, and portfolio company management.

Full designation across 8 core functions, with emphasis on Overall Management, Key Business Line, Risk, and Compliance.
HKSI Licensing Examinations & Exemption Pathways

- Exemptions: CFA and CAIA charterholders, as well as seasoned international portfolio managers, frequently qualify for paper exemptions under SFC guidelines.

Common Inquiries
5. Frequently Asked Questions: Type 9
Can a Type 9 fund manager also distribute fund shares?
Under Section 115 incidental carve-outs, an SFC Type 9 licensed manager can market and distribute the funds it manages without needing a separate Type 1 (Dealing in Securities) licence. However, distributing third-party funds requires a Type 1 licence.
Can an offshore manager manage a Hong Kong fund remotely?
The SFC requires the licensed corporation and at least one approved RO to maintain real, operational presence in Hong Kong. Investment decisions cannot be purely rubber-stamped from overseas.
Does managing virtual assets or crypto require special approval under Type 9?
Yes. If a Type 9 manager invests more than 10% of gross asset value in virtual assets, it must notify the SFC and satisfy the SFC Terms and Conditions for Virtual Asset Portfolio Managers.
