Executive Regulatory Summary
Under Section 126 of the SFO, a licensed corporation cannot conduct regulated activities without at least two approved Responsible Officers (ROs). The SFC evaluates prospective ROs against its comprehensive Guidelines on Competence and Fit and Proper Guidelines.
The SFC revised Guidelines on Competence establish three distinct pathways for an individual to qualify as a Responsible Officer.
| Pathway | Academic / Professional Qualification | Relevant Industry Experience | Management / Supervisory Experience |
|---|---|---|---|
| Option 1 (Standard) | Degree in relevant field (Finance, Law, Business, Accounting) or recognized qualification (CFA, CPA) | 3 years in past 6 years | 2 years in past 6 years |
| Option 2 (Experience) | Degree in other fields without finance specialization | 5 years in past 8 years | 2 years in past 8 years |
| Option 3 (Mature Candidate) | No formal university degree, but extensive senior financial market leadership | 8 years in past 11 years | 2 years in past 11 years |
The most common ground for rejection is inadequate proof of relevant industry experience. For Type 9 (Asset Management), an RO candidate must demonstrate direct discretionary authority in portfolio decision-making.
Serving as a quantitative research analyst, risk controller, or executing broker without personal investment discretion does NOT qualify a candidate to supervise discretionary asset management.
Candidates must satisfy the Local Regulatory Knowledge requirement. This is typically accomplished by passing HKSI Licensing Examination Paper 1 (Fundamentals of Securities and Futures Regulation).
Experienced overseas fund managers holding senior regulatory registrations abroad may apply for a conditional exemption, committing to complete 5 hours of post-licensing regulatory training within 6 months of approval.
Generally, no. The SFC imposes strict conflict of interest rules. An RO may only act for two corporations if they belong to the same corporate group and there is clear synergy without commercial conflict.
If an RO candidate has strong overseas portfolio management experience but lacks Hong Kong local regulatory experience, the SFC may grant approval subject to a condition requiring them to act "in conjunction with another fully approved RO".
The SFC conducts direct regulator-to-regulator verification through the IOSCO Multilateral Memorandum of Understanding (MMoU), liaising directly with the US SEC, UK FCA, Singapore MAS, or other authorities.
